Terms of service
These terms apply to the website service from Webkompaniet AS. They are written to be understood.
1. The parties
The supplier is Webkompaniet AS, Norwegian organisation number 999 529 860, registered business address Fiskekroken 14, 0139 Oslo, Norway, email hei@siteremake.com (“we”). The customer is the business named in the order (“you”). The service is sold only to businesses. The person placing the order confirms that they are authorised to enter into the agreement on behalf of the customer.
2. The agreement
The agreement consists of the order confirmation, the description of the package shown when you ordered, these terms and clause 11 on the processing of personal data. A separate written agreement takes precedence over these terms if the documents say different things.
3. Preview and ordering
Asking for a proposal and viewing the preview is free and without obligation. Sending the free form is neither a purchase nor a subscription. Purchases are made in a separate ordering process. When payment through Stripe is available, the agreement is made when the payment is confirmed. We send an electronic order confirmation without undue delay. If payment is not available, sending the order form is only a request. The agreement is then made only when we have sent a written order confirmation that you accept, or when a later payment is confirmed.
4. The service
The website is bought for a one-off fee, with the right of use described in clause 9. The basic delivery costs £2,490 excluding VAT, or the launch price shown in the order, and includes:
- Up to five pages with sections suited to the content, plus a separate privacy page
- A design that works on mobile, using your available text and your business’s images
- A contact form with email alerts to an agreed recipient
- Basic search setup with title, description, business data (schema.org LocalBusiness) and robots.txt
- Hosting and storage of the website with a secure HTTPS connection for the first year
- Two rounds of changes included: one combined list before publication and one more round if needed, with adjustments within the agreed scope
The proposal sets out the pages, sections and content before you buy. You supply or approve text and images you have the right to use. Two rounds of changes are included: one combined list before publication that we correct, and one more round if needed. Changes are sent by email, and we reply within one working day. Corrections within the agreed scope are included. Pages beyond the five, text written from scratch, new photographs, booking, online shops, integrations and more languages are agreed as add-ons. Moving from your old provider is a separate add-on. Domain renewal and email subscriptions are not included.
From year two, hosting costs £149 excluding VAT per year. This covers hosting and storage, a secure HTTPS connection, domain pointing, security and technical maintenance.
Add-ons to the basic delivery
Add-ons are agreed in writing before work starts, with the price in pounds sterling excluding VAT. They are ordered separately and are not automatically part of the purchase of the basic delivery.
You can also choose the monthly services Changes, Visibility and Consent. The chosen service decides what help and how many ordinary content changes are included. An ordinary content change is a limited change to existing text, an image, a price, contact details or opening hours. New functionality, new pages, larger redesigns, integrations and extensive new copywriting are not included unless stated in the package or agreed in writing. Unused changes do not carry over to later months and cannot be exchanged for money.
If you have specifically agreed changes as needed, we handle a reasonable number of ordinary changes, normally one combined request at a time. We agree price and timing before we start work outside the package. Search engine optimisation is an effort, not a guarantee of rankings, traffic, enquiries or revenue.
5. Your involvement and approval
You must give us correct information, the clarifications we need and feedback within a reasonable time. Before publication you must check and approve names, services, prices, images, contact details and other content. The content is checked in the preview we send you a link to, and approval is given in writing by email. We do not publish the website on your domain until approval has been given. Approving the purchase and paying is not the same as approving the content and publication on your domain. Payment for the website and any monthly services is described in clause 6.
If we disagree, we wait with publication and adjust until you are happy, within the agreed scope. Adjustments within the scope are included. Work beyond this is agreed as an add-on before we start. Publication happens only when you have approved the website in writing by email.
6. Price, payment and renewal
The price and any add-ons are stated in the order. Prices exclude VAT. UK business customers account for VAT under the reverse charge. The one-off fee for the website is paid when you order, through Stripe. The yearly hosting fee is charged in advance from year two. The first year of hosting starts on the day we publish the website after your written approval. The publication date is recorded by us and is the starting point for the yearly hosting periods. The one-off fee for the website does not renew. Monthly services can be chosen in the proposal or added later by email. Services chosen in the proposal start at publication. Services added later start when they are ordered and paid for, with no back-charging for the time before the order. They are charged monthly in advance and renew automatically until cancelled. No monthly services are charged while we wait for the first publication.
If a payment fails, we send a notice to your contact address. We may suspend the service if the amount is still unpaid seven days after the notice. The service is reopened without undue delay once the amount due has been paid. The obligation to pay continues during a suspension caused by your breach. We may claim late payment interest and lawful collection costs.
7. Cancellation and term
The one-off fee for the website is not refunded after the website has been approved and published. For the hosting fee and the monthly services there is no notice period beyond the period already paid: a monthly service runs until the next monthly renewal, and the hosting fee until the end of the hosting year. Cancellation stops later charges. If hosting is cancelled, the website stays available until the end of the paid period and is then taken down from our service. You can then have the material exported under clause 15.
Cancellation is made in writing, for example by email to hei@siteremake.com. We send written confirmation without undue delay. Paid periods are not refunded, except for a price reduction, a refund for our material breach, a refund when we end the agreement without any breach on your part, or anything else that follows from the agreement or mandatory law.
8. Domain
The domain must be registered in your name. We do not take over ownership. You give us only the access needed for the agreed publication and hosting. We do not change the domain pointing until you have approved publication. When the service ends, the domain can be used with another provider. You are responsible for changing the domain pointing when the service with us ends. We give reasonable practical guidance.
Going back to an earlier website requires that it still exists with the old provider and can be used. Changing the domain pointing does not restore a deleted website or an ended agreement for hosting and storage.
9. Content, design and intellectual property
You keep all rights to text, images, logos and other material you give us. You give us a limited right to copy, adapt and publish the material as far as needed to deliver the service. The right ends when the material has been deleted under the agreement.
With a paid one-off purchase you get a permanent, royalty-free right to use the delivered website as delivered, with text, design and layout, with us or in another hosting environment of your choice. We and our licensors keep the rights to generators, templates, software, working methods and the systems the service is built with as independent products; your right covers the finished website, not the tools it was made with. Third-party material and software follow the terms of the relevant licences.
10. Content and lawful use
The website may be based on your existing website, public registers and information you give us, and may therefore contain errors. You are responsible for the final fact check and for making sure the content you give or approve can be used lawfully. You must not use the service for unlawful content, infringements, malware or actions that may harm the service or others. We may remove specific unlawful or harmful content after notice. In the event of an acute security risk we may act at once and notify you as soon as practically possible.
If a documented claim from a third party arises from material you have given us or asked us to use in breach of the rights of others, you must cover our documented direct loss to the extent the claim is due to matters you are responsible for. We must notify you promptly and give you a reasonable opportunity to take part in handling the claim.
11. Processing of personal data for the customer
For information about your contact persons, the order, payment and our own customer relationship, we are the controller. When we receive or store personal data from visitors to the website on your behalf, you are the controller and we are the processor. This clause is the data processing agreement between the parties.
The processing covers delivery of the website, the contact form, notifications, hosting, backups, customer support and deletion for as long as the ongoing service is delivered and during the wind-down period set out below. The data may be names, contact details, the content of enquiries, technical logs and other information a visitor submits. The data subjects are visitors, potential customers, the customer’s employees and other contact persons.
We process the data only on your documented instructions, unless the law requires otherwise. Use of the service’s functions and written requests to us count as instructions. We tell you if we believe an instruction breaches data protection rules. People with access to the data must be bound by confidentiality. We must have appropriate technical and organisational security measures suited to the risk.
We help you as far as reasonable and necessary with access, rectification, erasure, restriction, data portability, security assessments and obligations under Articles 32 to 36 of the GDPR. In the event of a personal data breach we notify you without undue delay and give you the available information you need to assess and meet your own obligations.
You give general approval to the use of the sub-processors listed in the overview of security and sub-processors. We must enter into the necessary agreements with them and are responsible to you for their data processing obligations. We give at least 30 days’ notice before we add or replace a sub-processor. You may object within 14 days when the objection is based on reasonable data protection grounds. If we cannot offer a reasonable alternative, either party may end the affected part of the service. We do not transfer personal data outside the EEA without a valid transfer mechanism and the necessary safeguards.
When the service ends, you can ask to have the personal data returned in a common electronic format. The request must be sent no later than 30 days after the service ends. After that we delete the data and existing copies, except data we must keep by law and backups that are deleted through normal rotation. We make the necessary information on compliance available and contribute to reasonable audits. An audit must normally be notified at least 30 days in advance, be carried out without undue disruption and be paid for by you, unless it reveals a material deviation on our part.
12. Confidentiality and subcontractors
The parties must protect non-public information they receive through the agreement and use it only to perform the agreement. Confidentiality does not apply to information that is already public, has been lawfully received from others, has been developed independently or must be disclosed by law or a binding order from an authority. The obligation continues after the agreement has ended.
We may use subcontractors for hosting and delivery. We remain responsible for the service being delivered in line with the agreement. Clause 11 also applies to sub-processors.
13. Availability and price reduction
We work to keep the website available around the clock, but do not guarantee uninterrupted operation. We may carry out necessary maintenance and give notice of planned work when practically possible. If the website is unavailable continuously for more than 24 hours because of something we are responsible for, you may claim a proportionate price reduction for the documented downtime. The total price reduction is limited to the price of the affected ongoing service in the affected payment period. The claim must be sent in writing within 30 days of the outage.
No price reduction is given for notified maintenance, faults in your domain, domain pointing, equipment or services you have chosen yourself, or force majeure. The price reduction is the only financial compensation for an ordinary outage. It does not limit the right to end the agreement for another material breach.
14. Limitation of liability
We are liable only for documented direct financial loss caused by our breach. We are not liable for indirect loss, including lost profit, lost revenue, lost customers or loss caused by content the customer has approved being incorrect or unlawful. Our total liability for all claims under the agreement is limited to what you have paid for the service in the twelve months before the claim arose.
These limitations do not apply to intent, gross negligence or liability that cannot lawfully be limited.
15. Breach and termination by us
In the event of a material breach, the other party may end the agreement if the breach has not been remedied within 14 days of written notice. Non-payment for more than 30 days after the due date counts as a material breach. A party may end the agreement at once if the other party goes bankrupt or clearly cannot meet its obligations. We may also end or suspend the service at once in the event of unlawful use or a serious security risk.
Otherwise we may end the agreement with at least 30 days’ written notice. If this happens before the end of a paid period without any breach on your part, we refund the unused part of the fixed price for the ongoing service. When the service ends, the website is taken down from our service. On request sent before the end or no later than 30 days afterwards, we give you a reasonable export of your own material, customer-specific text and, with a paid one-off purchase, the delivered website (HTML, CSS and images). The export is a file package that can be set up with another provider. The statistics and our receiving and notification service for the contact form are not included. The contact form must therefore be connected to a receiving solution with the new provider. The export does not include our generators, templates or systems as independent products.
16. Force majeure
A party is not liable for delay or failure to perform caused by an extraordinary event outside the party’s reasonable control, which the party could not reasonably have avoided or overcome. The affected party must give notice without undue delay and try to limit the effects. The obligation to pay for services already delivered remains. If the event lasts more than 60 days, either party may end the agreement in writing without liability for future periods.
17. Changes, price and assignment
We may change the price, the terms or the content of a package with at least 30 days’ written notice. Price changes apply only from the next renewal. For yearly hosting this means the next yearly renewal. A change must not materially reduce the main content of a period already paid for. If a materially negative change must still apply in the paid period, you may end the agreement and get back the unused part. Changes needed to comply with the law or to avert a security risk may be made sooner. We give notice as soon as practically possible.
Neither party may transfer the agreement without the written consent of the other. Consent must not be refused without good reason. We may still transfer the agreement as part of a reorganisation or a sale of all or the relevant part of the business, if the new supplier takes over our obligations. You may in the same way transfer the agreement to a business that takes over your relevant business. The other party must be notified in writing.
18. Notices, governing law and disputes
Notices under the agreement are sent to the email address registered for the party. You must keep your contact details up to date. Cancellation can always be sent in the ways set out in clause 7.
The agreement is governed by Norwegian law. The parties must first try to settle a dispute amicably. If that fails, the dispute is decided by the ordinary courts, with the district court covering the supplier’s registered business address as the agreed venue.
